These Terms of Service (“Terms”) govern your access to and use of the website codifywerkz.com and any software products, plugins, or extensions provided by Codify Werkz, LLC (“Codify Werkz,” “we,” “us,” or “our”).

By accessing our website, downloading our software, or purchasing a license, you agree to be bound by these Terms. If you do not agree, do not use our services or software.

Codify Werkz distributes software products including WordPress plugins and browser extensions. Each product is available under one or more of the license types described below.

A license grants you the right to use the software; it does not transfer ownership. All intellectual property rights in the software remain with Codify Werkz to the extent permitted by applicable open-source licenses.

Free versions of our WordPress plugins are distributed under the GNU General Public License v2.0 or later (GPL-2.0+). Under the GPL:

• You may use the software on any number of sites without restriction
• You may study, modify, and distribute the software freely
• Any modifications you distribute must also be released under the GPL
• You may not impose additional restrictions beyond those of the GPL

We use the following third-party services that may receive your data as part of normal Pro licenses are commercial licenses that unlock additional features and include support and automatic updates. Key terms:

• Agency/Multi-site use: Using a single Pro license on multiple client sites or domains is not permitted. Contact us about agency pricing for multi-site needs.
• Scope: Each Pro license is valid for use on one (1) active WordPress site (domain). Development and staging environments on the same project do not count against your license.
• Duration: Pro licenses are annual. Your license and associated benefits (updates, support) are active for 12 months from the purchase date.
• Renewal: You will be notified before your license expires. If you do not renew, the plugin continues to function but will no longer receive updates or support.
• Transferability: You may transfer a license to a different domain by deactivating it on the current site and activating it on the new one through your account dashboard.

You may not use our software or services to:

• Violate any applicable laws or regulations
• Distribute malware or harmful code
• Misrepresent the origin of the software or remove copyright notices
• Use a single Pro license on more domains than permitted
• Resell, sublicense, or redistribute Pro features as a standalone product
• Attempt to reverse-engineer Pro license validation mechanisms

All payments are processed by Freemius using Stripe. By completing a purchase you agree to Freemius’s terms of service in addition to these Terms.

Pricing: Prices are listed in USD and are subject to change. Price changes do not affect active license periods — your locked-in rate applies until renewal.

Taxes: Prices displayed may not include applicable taxes. VAT and other taxes are calculated and displayed at checkout based on your location. Freemius handles EU VAT compliance on our behalf.

Renewals: Annual licenses do not auto-renew by default. You will receive a renewal reminder before expiry with an option to renew at the then-current rate.

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the software will be error-free, uninterrupted, or compatible with every WordPress theme, plugin combination, or hosting environment. You are responsible for testing the software in your specific environment before deploying to production.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODIFY WERKZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SOFTWARE OR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APPLICABLE LICENSE IN THE 12 MONTHS PRECEDING THE CLAIM.

We may suspend or terminate your access to Pro services if you materially breach these Terms and fail to cure the breach within 30 days of written notice. Termination does not entitle you to a refund outside of our Refund Policy.

These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Maricopa Country/Arizona.

We may update these Terms from time to time. When we do, we will update the date at the top of this page. For material changes, we will notify active Pro customers by email at least 14 days before the changes take effect. Continued use after the effective date constitutes acceptance of the revised Terms.
